1:01Tesla's 2026 shareholder meeting is set for December 3, with no merger vote on the ballot
Musk, Robyn Denholm and JB Straubel are up for re-election. There is no new pay package for Musk and no merger proposal. Here is what shareholders will vote on.
Tesla will hold its 2026 annual shareholder meeting on December 3 at 3:00 p.m. Central Time, according to its proxy filing. The meeting is online, with a limited number of in-person seats at Gigafactory Texas in Austin.
Who can vote
Shareholders who held Tesla stock at the close of business on October 13, the record date, can vote.
What is on the ballot
- Re-election of three directors: Elon Musk, board chair Robyn Denholm and Tesla co-founder JB Straubel, each for three years.
- Say on pay: a non-binding vote on 2025 executive compensation.
- Auditor: ratification of PricewaterhouseCoopers for 2026.
The board recommends voting in favor of all three.
What is not on the ballot
- No merger proposal, despite analyst speculation about a combination with SpaceX.
- No new pay package for Musk.
- No proposal to remove supermajority voting rules. A similar proposal last year was supported by about 39.4% of outstanding shares, short of what was needed.
Attending in person
Seats at Giga Texas will be handed out by lottery. Details on how to sign up were not in the filing.
What to watch
Tesla's shareholder meetings often double as product events, with demos and announcements. The filing says nothing about that, and Tesla can still add items through supplementary proxy materials before December 3.
