Tesla's $2 billion xAI bet: from a failed shareholder vote to a stake in SpaceX

xAI / Grok · October 23, 2026

Shareholders did not back an xAI investment, yet Tesla put in $2 billion anyway. Weeks later xAI became part of SpaceX. Here is how that money ended up as SpaceX shares.

Few Tesla decisions of 2026 show how tightly Elon Musk's companies are woven together as clearly as the company's investment in xAI. It started with a shareholder vote that did not pass, turned into a $2 billion purchase of xAI stock, and ended, after a merger nobody voted on at Tesla, as a small stake in SpaceX.

The vote that did not pass

At the annual meeting in November 2025, Tesla asked shareholders for a non-binding opinion on investing up to $5 billion in xAI, Musk's artificial intelligence company behind the Grok chatbot. The proposal failed. Under Tesla's counting rules, abstentions count as votes against, and about 473 million shares abstained. That pushed the total against to roughly 1.39 billion, versus about 1.06 billion in favour. The company's general counsel said the board would weigh its next steps in light of that result.

The investment that happened anyway

On January 16, 2026, Tesla agreed to buy about $2 billion of xAI's Series E preferred stock, on what it called the same market terms as other investors in that funding round. Tesla made the deal public on January 28 with its fourth-quarter results. Alongside the share purchase, the two companies signed a framework agreement for future cooperation. Tesla presented the move as part of its Master Plan Part IV: putting AI into physical products such as cars, robots and energy systems.

The deal differed from what shareholders had been asked about. It was well below the $5 billion ceiling, and it took the form of a preferred equity stake plus a cooperation agreement rather than a broad mandate. Critics still saw it as going against the spirit of the vote.

Then xAI disappeared into SpaceX

Only days later, on February 2, 2026, SpaceX bought xAI in an all-stock deal. SpaceX was valued at about $1 trillion and xAI at about $250 billion. xAI became a SpaceX subsidiary, was later folded into SpaceX's AI division, and was rebranded SpaceXAI in July.

That changed the nature of Tesla's investment. Federal antitrust filings dated March 11 showed Tesla being cleared to hold a small stake in SpaceX, reportedly below 1%, as its xAI shares were converted. The exact size of the stake was not disclosed.

Why it matters

  • Exposure to SpaceX: through this conversion, Tesla shareholders now own a sliver of SpaceX, which went public in June 2026.
  • Business ties: Grok runs in Tesla cars, and xAI has been one of the larger buyers of Tesla Megapack batteries for its data centres.
  • Governance: the episode feeds the debate about conflicts of interest between Musk's companies, which will only grow louder now that Tesla and SpaceX are formally studying a merger.

What to watch

The next test is Tesla's shareholder meeting on December 3. The two companies have set up special committees to study a possible combination, but no proposal is on the ballot yet. If a deal does come, Tesla's small SpaceX stake would be a footnote in a much bigger transaction.
