3 minTesla reports Musk's 2025 pay at $158 billion, yet he received nothing: the filing explained
Tesla's new filing values Elon Musk's 2025 pay at a record $158 billion, almost all of it accounting value for awards he has not earned. Here is what the number means, and what else the filing showed.
Tesla has put a number on Elon Musk's pay for 2025, and it is the largest ever reported for a chief executive: $158,359,009,867. In the same filing, the company says Musk actually received nothing. Both statements are true, and the gap between them explains a lot about how Musk is paid.
What Tesla disclosed
The figures appeared in a regulatory filing late on Thursday, April 30, 2026. It is the first time Tesla has added up Musk's annual pay since shareholders approved his new performance award in November 2025. According to Bloomberg, the total breaks down into two parts:
- About $132 billion: the maximum grant-date fair value of the 2025 CEO Performance Award, assuming every performance condition is met.
- Just over $26 billion: the grant-date value of an interim award of restricted shares that the board approved in August 2025.
The interim award no longer exists. It was designed as a fallback in case Musk's 2018 pay package stayed cancelled by the courts. After the Delaware Supreme Court restored that 2018 award in December 2025, Musk forfeited the interim shares in April 2026.
Why the realized pay is zero
US rules require companies to report the accounting value of stock awards in the year they are granted, even if the executive may never receive them. Musk's 2025 award only pays out when Tesla reaches both market value and operating milestones, and it reached none of them in 2025. No shares had vested when the filing was made.
Tesla itself warns of a "significant disconnect" between the reported figure and what Musk may eventually receive. Musk has not taken a salary from Tesla in years. Any shares that do vest under the 2025 award also come with a cost: they are offset at $334.09 per share unless Musk pays that amount in cash.
The pay ratio
Companies must also compare the CEO's pay with that of a typical employee. Tesla reported:
- Median employee pay: $62,786, excluding Musk.
- Reported ratio: about 2,522,203 to 1, based on the accounting figure.
- Realized ratio: 0 to 1, because Musk received nothing in 2025.
- Workforce counted: 135,623 employees at the end of 2025, about 43% of them outside the US.
Business with Musk's other companies
The filing also lists transactions with companies Musk leads. Tesla recorded more than $500 million in 2025 revenue from them, mostly from selling products:
- xAI: about $430.1 million, mainly Megapack batteries.
- SpaceX: about $143.3 million, mostly vehicle sales. Bloomberg previously reported that SpaceX likely bought more than $100 million worth of Cybertrucks in the fourth quarter of 2025.
Why it matters
Supporters of the award say the headline number is misleading: Musk only gains if shareholders gain, and the targets, which run up to a market value of $8.5 trillion, are very ambitious. Critics see the size of the figures, and the pay ratio, as evidence of how much of Tesla's future is tied to one person.
The context is not easy for Tesla either. Through Thursday, its shares were down about 15% in 2026, while the S&P 500 was up more than 5%.
What to watch next
- The milestones: each tranche of the 2025 award requires both a market value target and an operating target, such as vehicle deliveries or robotaxis in service.
- SpaceX: its planned stock market listing, reportedly in June, will draw more attention to how Musk divides his time and loyalty between his companies.
